Terms of Service

Master Subscription Agreement and Terms of Service governing access to and use of Quiver Technologies software, AI grounding engines, and outreach intelligence tools.

1. Acceptance of Terms

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you (whether individually or on behalf of an entity you represent, "Customer", "User", "you") and Quiver Technologies Inc. ("Quiver", "we", "us", or "our").

By creating an account, accessing, or using the Quiver web application, APIs, or associated services (collectively, the "Service"), you confirm that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy. If you do not agree, you must immediately cease all access and use.

2. Eligibility, Accounts & Role-Based Access Control (RBAC)

2.1. Eligibility: You represent and warrant that you are at least 18 years of age (or the legal age of majority in your jurisdiction) and possess full legal capacity to enter into binding agreements.

2.2. Account Security: You are solely responsible for maintaining the confidentiality of your credentials, multi-factor authentication devices, and encrypted API keys. You agree to notify Quiver immediately at security@quiver.app of any unauthorized use.

2.3. Organization RBAC: Quiver provides multi-tenant organizational separation. If you are an Organization Owner or Admin, you are responsible for designating appropriate member roles (Owner, Admin, Writer, Reviewer, Viewer) and ensuring that all invited team members comply with these Terms.

3. Subscriptions, Free Trials & Payment Processing

3.1. Subscription Tiers: Quiver is offered on a SaaS subscription basis (Solo Starter, Solo Pro, Agency Growth, Agency Scale, Enterprise) as detailed on our Pricing Page.

3.2. 14-Day Free Trial: We offer a 14-day free trial on select tiers. Unless canceled prior to the expiration of the trial period, your selected payment method will be automatically charged the prevailing subscription rate.

3.3. Payment Processing: All billing, invoicing, and card payments are processed securely by our third-party payment partner, Stripe, Inc. By providing payment information, you authorize recurring monthly or annual charges until cancellation.

3.4. Taxes: Fees are exclusive of applicable value-added taxes (VAT), goods and services taxes (GST), sales taxes, or other statutory levies, which will be calculated based on your billing jurisdiction.

4. Cancellation & Refund Policy

4.1. Cancellation: You may cancel your subscription at any time directly through the Settings > Billing portal. Cancellation takes effect at the end of the current paid billing cycle, during which you retain full access to the Service.

4.2. Fair Refund Policy: Except where required by applicable consumer law (e.g., statutory withdrawal rights in the European Union and United Kingdom), all subscription fees are non-refundable. If you experience an unresolved technical outage exceeding our SLA commitment, you may contact billing@quiver.app for credit evaluation.

5. Intellectual Property & AI Output Ownership

5.1. Customer Data Ownership: You retain 100% full, exclusive intellectual property rights and title to all capability profiles, CVs, work samples, past metrics, and client intake text that you upload or input into Quiver ("Customer Input Data").

5.2. AI Generated Proposals & Outputs: As between you and Quiver, you own all right, title, and interest in and to the specific tailored proposals, follow-up messages, and outreach copy generated by the Service for your account ("Output Content"). Quiver assigns to you all of its right, title, and interest (if any) in Output Content.

5.3. Quiver Intellectual Property: Quiver and its licensors retain all rights, title, and interest in the software platform, UI/UX designs, algorithms, prompt architectures, scoring rubrics, trademarks, and documentation.

6. Zero-Training Pledge & Data Confidentiality

6.1. Strict No-Training Guarantee: Quiver strictly guarantees that your Customer Input Data, capability profiles, past earnings, client identities, and generated proposals are NEVER used to train, retrain, fine-tune, or improve public or foundation LLM models (including models operated by OpenAI, Anthropic, or open-source weights).

6.2. Enterprise Zero-Retention APIs: All LLM provider integrations operate via secure enterprise API channels governed by zero-retention and non-training commitments.

6.3. Cryptographic Vault: User-supplied LLM API keys are encrypted at rest using AES-256-GCM with authenticated tags and are never stored in plaintext.

7. Third-Party Marketplace Disclaimers

7.1. Independent Tool: Quiver is an independent productivity suite designed to assist professionals with drafting communications. Quiver is NOT affiliated with, sponsored by, authorized by, or endorsed by Upwork Global Inc., LinkedIn Corporation, Fiverr International Ltd., Contra Inc., Toptal LLC, or X Corp.

7.2. Marketplace Compliance Warranty: You warrant that your use of generated content and your outreach activities will strictly comply with the terms of service, community guidelines, and anti-spam policies of any third-party platform where you post or submit proposals.

8. Acceptable Use & Conduct

You agree not to use the Service to generate false, defamatory, deceptive, fraudulent, or harassing material, or to execute mass automated spam campaigns. All usage is governed by our Acceptable Use Policy. Violation may result in immediate suspension or termination.

9. Warranty Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. QUIVER DOES NOT GUARANTEE THAT GENERATED PROPOSALS WILL WIN CONTRACTS, SECURE CLIENT ACCEPTANCE, OR GUARANTEE FINANCIAL RESULTS. AI-GENERATED TEXT MUST BE REVIEWED AND VERIFIED BY THE CUSTOMER PRIOR TO DISPATCH.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUIVER, ITS DIRECTORS, EMPLOYEES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY.

QUIVER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE STRICTLY LIMITED TO THE AMOUNT PAID BY YOU TO QUIVER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11. Indemnification

You agree to defend, indemnify, and hold harmless Quiver and its officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your breach of these Terms, your Input Data, or your violation of third-party platform terms.

12. International Dispute Resolution & Governing Law

12.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

12.2. Informal Resolution: Before initiating formal proceedings, you and Quiver agree to attempt in good faith to resolve any dispute informally for at least thirty (30) days by emailing disputes@quiver.app.

12.3. Binding Arbitration: Except for small claims or intellectual property injunctions, any unresolved dispute shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

12.4. Class Action Waiver: YOU AND QUIVER AGREE THAT CLAIMS MAY ONLY BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13. Regional Statutory Protections

13.1. European Union & United Kingdom Consumers: If you are a consumer residing in the EU or UK, nothing in these Terms deprives you of mandatory consumer protections or statutory cancellation rights provided under the laws of your country of residence.

13.2. Australian Consumers: Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to cancel your service contract with us and to a refund.

13.3. California Residents: Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834.

14. Modifications & Termination

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or an in-app banner at least thirty (30) days before taking effect. Continued use of the Service following effective date constitutes acceptance.
